Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") form a legally binding agreement between you and Nannoy Labs Ltd. ("Nannoy Labs", "we", "us", "our"), a company registered in Nigeria and the operator of the Nannoy platform, governing your access to and use of Nannoy at nannoy.com and any associated mobile or web applications (the "Service").

By creating an account or using the Service, you confirm that you are at least 16 years old and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

Nannoy is an AI-powered personalised learning platform. We provide:

• An AI advisor that generates fully personalised tech courses based on your goals and background
• Nora, an AI mentor available via chat and voice on every lesson
• Structured lessons, knowledge checks, and assessments
• Free legacy courses across development, cybersecurity, AI, and productivity
• Verified certificates of completion with unique verification codes
• NANNOY token rewards for completing lessons and assessments
• A community feed where learners can share progress and ideas

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

3. Accounts

You may register using an email address and password, or via Google Sign-In. You are responsible for:

• Keeping your login credentials confidential
• All activity that occurs under your account
• Notifying us immediately at hello@nannoy.com if you suspect unauthorised access

You may not create an account on behalf of someone else, share your account credentials, or maintain more than one active account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription plans and billing

4.1 Free plan

The free plan gives access to all legacy courses and the first 3 lessons of any AI-generated course. No credit card is required. Free plan users do not have access to AI course generation, Nora AI mentor, or certificate issuance.

4.2 Student Plan

The Student Plan is a paid subscription (monthly or annual) that unlocks all platform features. Pricing is displayed on the pricing page and may change with 30 days' notice to existing subscribers.

4.3 Payment

Payments are processed by Paystack. By subscribing you authorise us to charge your payment method on a recurring basis until you cancel. Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain full access until then. We do not offer pro-rata refunds for partial billing periods.

4.5 Refunds

Refunds are issued at our discretion. If you believe you were charged in error, contact us at hello@nannoy.com within 14 days of the charge. Refunds will not be issued after a certificate has been generated or after significant use of the AI course generation feature in a billing period.

5. AI-generated content

Courses, lessons, assessments, and certificate content are generated by AI models (AWS Bedrock / Anthropic Claude / Amazon Nova). While we strive for accuracy:

• AI-generated content may contain errors, inaccuracies, or outdated information
• The Service is for educational purposes only and does not constitute professional advice (legal, financial, medical, or otherwise)
• Certificates issued by Nannoy are certificates of completion of an AI-generated course, not accredited qualifications
• You are responsible for independently verifying any information before relying on it professionally

Nora, the AI mentor, is powered by a large language model. Interactions with Nora are AI-generated responses and do not constitute human tutoring, counselling, or professional guidance of any kind.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Scrape, crawl, or systematically extract content from the platform
• Resell, sublicense, or commercially exploit any part of the Service or generated content without our written consent
• Upload or share content that is defamatory, obscene, discriminatory, or that infringes any third-party intellectual property rights
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service to generate content that promotes harm, illegal activity, or misinformation
• Attempt to reverse-engineer, decompile, or extract the AI models, prompts, or platform source code

We reserve the right to remove any content that violates these rules and to suspend or terminate accounts involved in violations.

7. Community and user-generated content

The platform includes a community feed where you may post text and media. By posting content:

• You retain ownership of your content
• You grant Nannoy a worldwide, non-exclusive, royalty-free licence to display, reproduce, and distribute that content within the Service
• You confirm the content does not violate any third-party rights or applicable law
• You understand that other users of the Service may see your posts

We may remove any user-generated content at our discretion, particularly content that violates Section 6 or that we receive valid complaints about.

8. Intellectual property

All platform software, branding, design, and non-user-generated content (including AI-generated course content delivered to you through the Service) is owned by or licensed to Nannoy Labs Ltd. You may not reproduce, distribute, or create derivative works from platform content outside of your personal learning use without our prior written consent.

Your personal learning data (progress, scores, notes) belongs to you. See our Privacy Policy for information on data portability and export.

9. NANNOY tokens

NANNOY tokens are an in-platform reward currency earned by completing lessons and assessments. They can be redeemed for platform credits or other benefits as described in the platform. You acknowledge:

• NANNOY tokens have no monetary value and cannot be exchanged for real currency
• Tokens are non-transferable and cannot be sold or traded
• We may modify the token earning rates, redemption options, or the token system at any time with reasonable notice
• Tokens may be forfeited if your account is terminated for violating these Terms

10. Certificates

Certificates are issued upon successful completion of an AI-generated course and passing the required assessments. Each certificate has a unique verification code verifiable at nannoy.com. Certificates remain accessible even after a subscription expires. We reserve the right to revoke a certificate if we determine it was obtained fraudulently or by violating these Terms. Nannoy certificates are not nationally or internationally accredited qualifications.

11. Ambassador programme

The Nannoy Ambassador Programme is subject to separate terms communicated to ambassadors at the time of acceptance. Invite codes provided by ambassadors are for individual sign-up use only. Misuse of invite codes (including bulk creation of fake accounts) will result in termination of the ambassador relationship and any associated accounts.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated content will be accurate, complete, or up to date
• Completing a course or earning a certificate will result in any particular career outcome

13. Limitation of liability

To the fullest extent permitted by applicable law, Nannoy Labs Ltd. and its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of profits, data, or goodwill, even if advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to Nannoy in the 12 months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited by law.

14. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria, except where mandatory consumer protection laws in your country of residence provide otherwise.

Before initiating any formal legal proceedings, we encourage you to contact us at hello@nannoy.com so we can try to resolve the issue informally.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by a notice on the platform at least 14 days before the changes take effect. The effective date at the top of this page will always reflect the date of the latest revision. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may cancel your subscription.
